Submission Agreement
I. DEFINITIONS AND SCOPE
This agreement ("Agreement") constitutes a binding contract between Mediamuse, LLC, ("Mediamuse") and its subsidiaries and any person ("User"), whether in their individual or agency capacity, who selects "I AGREE" under the "Submission Agreement" section of the Mediamuse website. A new contract is formed each time "I AGREE" is selected. This Agreement is subject to change and should be read in its entirety previous to each instance of selecting "I AGREE."
After selecting "I AGREE," the User may then upload his "Work" for publication consideration by Mediamuse. The "Work" may be in any format designated for publication by Mediamuse, including but not limited to written words, video recordings, audio recordings, still images, and any combination of these mediums.
II. WARRANTIES AND INDMENITIES
The User represents and warrants that he has the authority to enter into this contract, including but not limited to the fact that he is eighteen years or older; that he is an authorized representative of the Work, who has the legal authority to enter into a binding contract for the publication of the Work; and that he is the copyright holder of the Work and controls the rights to the Work for all purposes defined in this Agreement.
The User indemnifies Mediamuse against any legal actions that may arise due to any misrepresentations, whether intentional or negligent, made by the User when entering into this Agreement.
III. TERMS OF SUBMISSION
The User understands that the Work he submits may be published in electronic form on the Mediamuse website. Mediamuse maintains editorial discretion to refuse to publish any Work for any reason. Mediamuse also maintains editorial discretion to refuse to list any website link that accompanies a submission. Mediamuse may publish the Work in part or in whole. At no time will ownership or any legal interest in the copyright be transferred to Mediamuse. Neither the User nor any other party will receive any compensation for the publication of the Work. Mediamuse offers no legal protection to the User for any legal disputes arising out of the publication of the Work.
Mediamuse reserves the right to republish the Work, in part or in whole, in any format now known or later developed, in any work produced by Mediamuse or its subsidiaries. Mediamuse also reserves the right to use the Work for its own promotional purposes. However, Mediamuse does not have the authority to resell any of the rights granted to it under this Agreement.
IV. GOVERNING LAW
Regardless of the place of its actual execution and performance, this Agreement shall be treated as though executed and performed within Dallas County, Texas, and shall be governed by the laws and statutes thereof.
V. ASSIGNMENT
This Agreement shall be binding upon the successors and assigns of the Mediamuse and the User.
